Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to enter into a binding contract to use the Site. By using the Site, you represent that you meet these requirements.

Scope of these Terms

The Site is an informational and marketing presence describing Aurtrio's products and services. These Terms apply to your use of the Site. They do not govern:

• Service engagements: any project, advisory, or development work we perform for you ("Services") is governed by a separate signed agreement — a proposal, statement of work ("SOW"), master services agreement ("MSA"), or equivalent. Nothing on this Site is an offer to perform Services, a binding quote, or any commitment until such an agreement is signed by both parties.
• Products: our consumer products (including VaruFit and Serckl) are governed by their own product-specific terms of service and privacy notices, which apply when you use those products.

Forward-looking information

The Site contains information about products in development and services we offer. Statements about timelines, planned features, or roadmaps are aspirational and may change without notice. Mention of a product on this Site does not guarantee its availability, features, pricing, or release date in any market.

Acceptable use

You agree not to:

• Use the Site in violation of applicable law or these Terms.
• Attempt to gain unauthorized access to the Site, our systems, or any account.
• Disrupt the Site, including by introducing malware, denial-of-service techniques, or excessive automated requests.
• Scrape, harvest, or extract data from the Site by automated means, except as expressly permitted by our robots.txt or in writing.
• Reverse engineer, decompile, or otherwise attempt to derive the source code of the Site, except as permitted by law.
• Use the Site to infringe the intellectual property, privacy, publicity, or other rights of any person.
• Impersonate any person or misrepresent your affiliation with any person or entity.
• Use the Site to send unsolicited communications.

Intellectual property

The Site and its content — including text, graphics, logos, marks, images, audio, video, code, design, and the selection and arrangement of the foregoing — are owned by or licensed to Aurtrio LLP and protected under Indian and international intellectual-property laws. "Aurtrio", "VaruFit", "Serckl", and any associated logos and marks are trademarks of Aurtrio LLP. You receive a limited, revocable, non-exclusive, non-transferable license to view the Site for personal, non-commercial purposes. All other rights are reserved.

Your submissions and feedback

If you send us ideas, suggestions, feedback, or other materials about the Site, our products, or our services ("Submissions"), you grant Aurtrio LLP a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use the Submissions for any purpose, without obligation to you. Do not send us anything you consider confidential without a written non-disclosure agreement signed by us.

Third-party links and services

The Site may contain links to third-party websites or services (for example, our scheduling provider). We do not control and are not responsible for the availability, content, or practices of third parties. Your interactions with them are governed by their own terms.

Pre-engagement confidentiality

During inquiries or proposal discussions, either party may share commercial or technical information. Until we execute a separate non-disclosure agreement, information exchanged through the Site or initial calls should not be treated as confidential unless clearly marked or designated as such. Once we sign an NDA or services agreement, the terms of that agreement control.

Disclaimers

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. To the maximum extent permitted by law, we disclaim all such warranties.

Limitation of liability

To the maximum extent permitted by law, in no event will Aurtrio LLP, its designated partners, employees, or affiliates be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of or inability to use the Site, even if advised of the possibility of such damages. Our aggregate liability arising out of or in connection with the Site and these Terms will not exceed ₹10,000 (Indian Rupees Ten Thousand) or the equivalent in your local currency. Nothing in these Terms limits any liability that cannot be excluded under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Aurtrio LLP and its designated partners, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of a third party.

Suspension and termination

We may suspend or terminate your access to the Site at any time, without notice or liability, if we believe you have violated these Terms or applicable law, or if we discontinue the Site. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Governing law and jurisdiction

These Terms are governed by the laws of the Republic of India, without regard to its conflict-of-laws principles. Subject to applicable mandatory law, the courts at Malappuram, Kerala, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site.

Dispute resolution

Before initiating formal proceedings, please contact us at hello@aurtrio.com so that we can attempt to resolve the matter informally. Both parties agree to attempt good-faith resolution for at least thirty (30) days before pursuing other remedies.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Site after the updated Terms take effect constitutes acceptance of the changes. If you do not agree to the changes, please stop using the Site.

Miscellaneous

These Terms (together with any documents they incorporate) are the entire agreement between you and Aurtrio LLP regarding your use of the Site, and supersede any prior understandings on the subject. If any provision is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor in connection with a reorganization or transfer of business.
